A subsidiary of Jefferson Capital Holdings has launched a $100 million senior notes offering maturing in 2030, according to regulatory filings.
The notes are being issued by an indirect wholly-owned subsidiary under an indenture dated May 2, 2025, and will be initially guaranteed on a senior unsecured basis by certain of the issuer’s domestic restricted subsidiaries. The offering follows a prior issuance of $500 million in 8.250% senior notes due 2030 under the same indenture.
Proceeds from the new notes will be used to repay a portion of outstanding borrowings under the issuer’s revolving credit facility, with any remaining funds allocated to general corporate purposes. Jefferson Capital also noted it may reborrow under the facility in the future to purchase portfolios and fund acquisitions.
The notes have not been registered under the U.S. Securities Act and are being offered only to qualified institutional buyers pursuant to Rule 144A. Additionally, the offering is being made to non-U.S. persons outside the United States under Regulation S of the Securities Act.
