Holcim Group Services Ltd announced it has signed an agreement to acquire Fermacell from James Hardie Industries plc. Fermacell, a European provider of sustainable wall and floor solutions, reported an expected 2026 revenue of roughly €430 million. The company operates six modern production sites across 13 European markets and employs more than 1,000 staff from its Düsseldorf headquarters.
The transaction is valued at €840 million, implying a pro‑forma 2027 EBITDA multiple of 9.5 times, which would fall to 7.6 times after accounting for anticipated synergies of about €22 million in the third year. Holcim expects the acquisition to contribute positively to earnings per share in the first year after closing.
Holcim says the deal expands its Building Solutions segment, adding the premium brands fermacell and Aestuver to its existing portfolio that includes Ytong, Silka, Hebel and Multipor. The acquisition aligns with Holcim’s “NextGen Growth 2030” strategy, which focuses on sustainable construction and modular building systems.
Holcim (SIX: HOLN) posted CHF 15.7 billion in revenue for 2025 and employs over 50,000 people in 45 countries across Europe, Latin America, Asia, the Middle East and Africa. The company highlighted its commitment to financial discipline and growth‑oriented capital allocation.
The transaction remains subject to customary closing conditions and regulatory approvals, with completion targeted for the first half of 2027.
