Greenland Mines Ltd. announced plans to conduct a public offering of common stock or equivalents to raise capital for the acquisition of the Sarfartoq Nd-Pr rare earth element project in Greenland. The company, based in Charlotte, North Carolina, will sell all securities in the offering itself, with proceeds intended to fund the acquisition, working capital, and general corporate purposes.
The offering will be managed by A.G.P./Alliance Global Partners as the sole placement agent. Terms, size, and timing remain subject to market and other conditions, with no guarantee of completion. The transaction will be conducted under an effective U.S. Securities and Exchange Commission shelf registration statement on Form S-3 (File No. 333-288533), filed July 7, 2025, and declared effective July 25, 2025. A preliminary prospectus supplement will be filed with the SEC in due course.
Greenland Mines operates two divisions: a mining division focused on the Skaergaard Project in southeast Greenland and, pending completion of the acquisition, the Sarfartoq neodymium-praseodymium rare earths project in southwest Greenland. The company also maintains a biotech division as a secondary business line.
