Atlanta-based insurance holding company Atlantic American Corporation said it received a delisting notice from Nasdaq after failing to file required financial reports on time.
The company, which operates through subsidiaries including American Southern Insurance Company and Bankers Fidelity Life Insurance Company, disclosed that its annual report for the year ended December 31, 2025, and quarterly reports for March 31 and June 30, 2026, were filed late. Nasdaq cited a violation of Listing Rule 5250(c)(1), which requires timely submission of periodic financial disclosures to the U.S. Securities and Exchange Commission.
Nasdaq has not immediately suspended trading of Atlantic American’s common stock, listed on the Nasdaq Global Market under ticker AAME. The exchange granted the company an extension until October 12, 2026, contingent on the submission of an updated compliance plan by September 4, 2026. Failure to meet the revised deadline or regain compliance within the extension period could result in delisting proceedings.
Atlantic American, which also owns Bankers Fidelity Assurance Company and Atlantic Capital Life Assurance Company, did not disclose the reasons for the filing delays. The company stated it is working to address the compliance issues and intends to submit the required documentation within the prescribed timeframe.
