Shareholders of Gooch & Housego PLC (LSE: GHH) voted overwhelmingly to approve the recommended cash acquisition by Greenlight Bidco Limited, a vehicle controlled by Arlington Capital Partners VII, L.P.
The transaction, structured as a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006, secured support from 79.17% of scheme shares voted. In total, 55.46% of eligible shares were represented by votes in favor, with 147 shareholders supporting the proposal and 25 opposing it.
At a separate general meeting, 78.64% of shares voted supported the resolution to implement the scheme, including amendments to the company’s articles of association. A total of 14,716,053 shares were cast in favor, while 3,997,729 shares voted against.
Gooch & Housego confirmed 27,370,726 shares were in issue at the voting record date. The deal remains subject to court sanction, anticipated in the fourth quarter of 2026, as well as the satisfaction or waiver of other conditions. The company stated it will communicate any changes to the timetable via a Regulatory Information Service and its website.
