Shareholders of Gooch & Housego PLC (LSE: GHH) have voted to approve the £143 million cash acquisition by Greenlight Bidco Limited, an affiliate of Arlington Capital Partners VII, L.P.
At a court meeting held today, 79.17% of scheme shares voted in favor of the transaction, representing 55.46% of eligible shares. Of the 172 shareholders who participated, 147 supported the proposal while 25 opposed it. Separately, 78.64% of shares voted at a general meeting backed the resolution to implement the scheme, including amendments to the company’s articles of association. A total of 14,716,053 shares were cast in favor, against 3,997,729 opposed.
The company had 27,370,726 shares in issue at the voting record date. The transaction, structured as a recommended cash offer under a court-sanctioned scheme of arrangement, now meets two of its conditions. Final approval remains contingent on court sanction at a hearing expected in the fourth quarter of 2026, alongside the satisfaction or waiver of other outstanding conditions.
Gooch & Housego and Arlington Capital first announced the deal on July 16, 2026, with the scheme document published on July 30, 2026.
