Galaxy Gaming Inc. said on Monday it has canceled outstanding warrants and reduced its share count by 3%, a move aimed at simplifying its capital structure and enhancing shareholder value.
The company did not disclose the total number of warrants canceled but stated they were set to expire in 2025. The reduction in shares outstanding is expected to take effect immediately, according to a filing with the U.S. Securities and Exchange Commission.
The warrants, which were issued in prior financings, had allowed holders to purchase shares at a fixed price. By canceling them, Galaxy Gaming eliminates potential dilution and strengthens its equity base, the filing showed.
Analysts noted the decision reflects a broader trend among mid-cap companies to optimize capital structures amid uncertain market conditions. The cancellation is unlikely to materially impact the company’s financial statements but may improve metrics such as earnings per share by reducing the denominator.
Galaxy Gaming, which operates in the gaming and hospitality sector, did not provide further details on the rationale behind the cancellation or whether additional capital actions are planned. The company’s shares were down 1.2% in after-hours trading following the announcement.
