FS Bancorp Inc. (NASDAQ: FSBW) said its board of directors has approved a share buyback program authorizing the repurchase of up to $5 million in the company’s outstanding common stock over the next 12 months.
The program, effective immediately, will run through August 24, 2027. Repurchases may begin no sooner than the second trading day following the announcement, which would be August 26, 2026.
The company said purchases may be made through open market transactions, privately negotiated deals, or a trading plan under SEC Rule 10b5-1. Open market purchases will comply with Rule 10b-18 and other regulatory requirements. Management retains discretion over the timing, volume, and execution of repurchases, considering factors such as share availability, market conditions, stock price, alternative capital uses, and financial performance.
The program does not obligate FS Bancorp to purchase any specific number of shares and may be suspended, terminated, or modified at any time without prior notice. FS Bancorp is the holding company for 1st Security Bank of Washington, which operates 33 branches, a headquarters office, and loan production offices in Washington and Oregon. The bank serves small- and middle-market businesses and individuals across the greater Puget Sound area, the Kennewick-Pasco-Richland metropolitan area, the greater Portland metropolitan area, and Vancouver, Washington.
