Founders Metals Inc. completed the purchase of the outstanding 30% interest in Lawa Gold N.V., giving the TSXV‑listed miner full, royalty‑free control of the Antino Gold Project in southeastern Suriname. The transaction was funded with US$17 million in cash and 13,568,944 newly issued common shares transferred to Nana Resources N.V., the seller.
Nana Resources is also eligible for up to US$21 million in contingent payments linked to the achievement of mineral resource estimates, permitting, construction and production milestones at Antino. Following the closing, Nana Resources retained 14,246,413 shares of Founders Metals, representing roughly 9.9% of the company’s issued and outstanding equity.
In a related financing, Gold Fields Netherlands Services B.V., an affiliate of Gold Fields Limited, closed a strategic investment of C$76,958,864 in Founders Metals. As part of the investment, Gold Fields purchased 14,146,850 common shares at C$5.44 per share, raising its stake to about 19.9% of Founders Metals. Before the transaction, Gold Fields held 14,489,879 shares, or roughly 12.5% of the float.
The Antino Gold Project covers 102,360 hectares and is positioned as a long‑term exploration and development asset for Founders Metals. Proceeds from the Gold Fields investment were used to settle the cash portion of the Lawa Gold acquisition and will support regional exploration, working capital and general corporate purposes.
All shares issued in connection with the two transactions are subject to a statutory hold period of four months and one day under Canadian securities law and TSX Venture Exchange rules. The acquisition was first announced on August 19, 2026 and the completion was reported on September 17, 2026.
