Kang Sun, a director of Amprius Technologies, sold 62,101 common shares for a total of $642,186 on August 21 under a non-discretionary sell-to-cover arrangement mandated by the company to cover tax withholding obligations on vested restricted stock units.
The shares were sold at prices ranging from $10.10 to $10.48 per share, with Amprius trading at $10.18 at the time of the transaction. The disposal follows a week in which the stock declined 4.2%, reflecting elevated volatility.
After the sale, Sun retains direct ownership of 1,218,397 shares, including 911,688 restricted stock units, and holds an additional 56,406 shares through the Kang & Cecilia Sun Family Revocable Trust, of which he and his spouse are co-trustees.
The transaction coincides with Amprius’ second-quarter results, which exceeded expectations. Revenue reached $34.02 million, surpassing the $29.29 million consensus estimate, while adjusted earnings per share matched forecasts at negative $0.02. The company raised its full-year revenue guidance to at least $140 million, up from the prior range of $130 million, and increased its gross margin target to at least 28%.
Amprius ended the quarter with $74.5 million in cash and reported no debt. Separately, the company extended its industrial lease for the Fremont, California facility through June 2034, with annual rent escalations and two five-year renewal options included in the agreement.
