American Resources Corporation’s Electrified Materials Corporation (EMCO) is set to acquire Blackion LLC in an all-stock transaction valued at approximately $13.2 million, with EMCO’s pre-money valuation at $275 million. The deal, structured to close 50% of shares immediately, 25% after 12 months, and the final 25% after 24 months (subject to integration alignment), consolidates Blackion’s expertise in lithium-ion battery lifecycle management with EMCO’s focus on critical materials recovery from end-of-life products, including rare-earth-bearing electronic waste and permanent magnets from data-center hardware and other scrap streams.
Blackion, founded by Douglas Luciano, specializes in feedstock origination, reverse logistics, material recovery, and traceability across the U.S. and international markets. The acquisition follows a year of collaborative commercial activities between EMCO and Blackion, as noted by CEO Chris Dreska, who described it as a natural progression. Blackion’s CEO, Douglas Luciano, emphasized the complementary nature of their capabilities, which will now be integrated under EMCO’s umbrella.
The combined entity plans to engage with battery and cell manufacturers, automotive and energy-storage companies, collection logistics providers, and recyclers to strengthen the broader battery supply chain. The transaction remains subject to regulatory approvals, customary closing conditions, and definitive agreement negotiations.
