Advent International has fully exited its position in NCS Multistage Holdings, disposing of 1.48 million shares in a transaction valued at $19.7 million, according to regulatory filings. The disposal, executed on September 1, 2026, was part of a broader merger agreement in which Weatherford International acquired NCS Multistage, offering stockholders the option to receive Weatherford common stock or a mix of stock and cash.
The transaction structure allowed Advent International to receive $19.67 million in cash alongside 357,159 Weatherford ordinary shares. The disposal marks the end of Advent's direct ownership in NCS Multistage, with the firm reporting zero beneficial shares post-transaction. The reported share count reflects a 1-for-20 reverse stock split conducted by NCS Multistage on December 1, 2020.
NCS Multistage's shares have gained nearly 34% over the six months preceding the filing, trading at $53.35 for a market capitalization of $140 million. Under the merger terms, each NCS Multistage share was valued at 0.463 Weatherford shares, with up to 19.99% of the total consideration payable in cash. Weatherford, a wholly-owned subsidiary of Weatherford International, initiated the definitive agreement to acquire NCS Multistage.
