Nomad Compute PLC (AQSE:NMD) has appointed Brian Stockbridge as a non-executive director, effective immediately, while departing non-executive director Marc Dixon was also announced as leaving the board at the same time.
No reason was provided for Dixon's departure or any additional details about the board reshuffle.
Stockbridge arrives with more than 20 years of corporate finance experience spanning direct investments, initial public offerings, capital raisings, and mergers and acquisitions across both public and private companies. His prior roles include positions at Zeus Capital Limited, Allenby Capital Limited, Noble & Company Limited, and Grant Thornton, as well as service as a case officer on the Panel on Takeovers and Mergers. He previously sat on the boards of Rangers Football Club and Allegiance Insure Limited.
As compensation for his appointment, Stockbridge was granted warrants to subscribe for 60 million ordinary shares at an exercise price of 0.25p per share. One-third of the warrants vest on the first anniversary of the grant, with one-36th vesting at the end of each succeeding month thereafter.
Through a wholly owned company, Stockbridge already holds 174,652,000 ordinary shares and 1,014,426 warrants over ordinary shares in Nomad Compute.
