InterCure Ltd. said it will implement a 1-for-5 reverse stock split effective at market open on Monday, August 24, 2026, to restore compliance with Nasdaq’s $1.00 minimum bid price for continued listing.

The company, which operates under the ticker INCR on the Nasdaq Global Market, will reduce its authorized share capital from 100 million ordinary shares to 20 million and shrink its outstanding shares from approximately 59.2 million to about 11.8 million. The new CUSIP for the ordinary shares will be M549GJ368.

Shareholders approved the split at an extraordinary general meeting on August 11, 2026. No fractional shares will be issued; any resulting fractions will be rounded down to the nearest whole share. The company’s transfer agent, Equiniti Trust Company, LLC, will provide instructions to holders of physical share certificates, while book-entry or brokerage account holders need not take any action.

InterCure noted it expects to receive a Staff Delisting Determination from Nasdaq but intends to appeal and anticipates its shares will remain listed during the process. Proportional adjustments will apply to outstanding options, warrants, restricted share units and other equity awards to maintain shareholder ownership percentages.
