Harbour Energy to buy $200m of its shares from BASF in off‑market deal

Harbour Energy plc announced on 10 September 2026 that it will purchase approximately $200 million of its ordinary shares from BASF Handels‑und Exportgesellschaft mit beschränkter Haftung in an off‑market transaction. The shares have a nominal value of 0.002 pence each and will be bought at the price set for BASF’s accelerated book‑build offering to institutional investors.

The deal is linked to BASF’s proposed sale of Harbour Energy shares and will only proceed if that offering is completed. Harbour Energy intends to cancel the acquired shares, effectively reducing its share count.

Any consideration exceeding $150 million will be deducted from Harbour Energy’s ongoing $250 million share‑buyback programme, which was announced on 6 August 2026. The off‑market buyback contract was signed in June 2026.

The company classified the announcement as inside information under the UK Market Abuse Regulation.
