Frasers Group seeks additional seat on Hugo Boss board after takeover

Frasers Group plc announced that Hugo Boss AG’s chairman, Stephan Sturm, will resign from the supervisory board to make way for expanded representation by the retailer. The resignation will take effect as soon as Hugo Boss’ corporate constitution permits.

Under the agreement, Frasers will seek the appointment of Robert Palmer as an additional supervisory board member. Michael Murray, Frasers’ chief executive, already serves on the Hugo Boss board following Frasers’ completion of a voluntary takeover offer.

The board composition discussion follows Frasers’ earlier statement on 1 September 2026 confirming the completion of its takeover bid. A press release issued on Saturday, 14 September 2026, thanked Sturm for his contributions and indicated that Frasers intends to maintain a collaborative relationship with him as the company enters a new corporate chapter.
