Charter Raises Cox Synergy Target to Over $1 Billion, Trims Leverage Goal

CFO Jessica Fischer said Charter’s combined footprint will exceed 70 million passings post-integration, with nearly half the Cox synergies expected quickly.

Charter Communications raised its synergy target from the Cox and Liberty Broadband acquisitions to more than $1 billion, Chief Financial Officer Jessica Fischer told analysts at Citi’s Global TMT Conference on Thursday.

Fischer said about half of those synergies are expected to reach run-rate within a "very short timeframe" as the company consolidates operations. Charter is also lowering its net debt-to-EBITDA leverage target to 3.5x, a level it expects to achieve over three years.

The transactions combine Charter’s existing footprint with Cox’s cable operations and Liberty Broadband’s assets, producing a network covering more than 70 million passings and roughly 37 million customers. An addressable market of nearly 35 million additional homes and businesses remains available for sales, Fischer noted.

On the integration front, Charter announced that pricing and packaging strategies will be rolled out across Cox’s footprint at full scale within approximately 1.5 weeks. A pro forma combined and standalone reporting schedule is expected in mid-October. Standalone Charter EBITDA will not be reported for Q3 and Q4 as integrations — including the movement of call-center workloads into Charter facilities — accelerate. Business segment metrics such as passings and customer counts will be omitted from pro forma disclosures because of definitional differences between the legacy platforms.

Charter highlighted several operational changes implemented during the summer. Cost pass-throughs paired with speed upgrades were executed in the July-August window for older pricing plans. The company introduced an "Invincible WiFi" product featuring cellular backup, and deployment teams now offer same-day installation for orders placed before 5 p.m. and next-day service otherwise. Retention offers that peaked earlier in the year have mostly normalized as of June.

Bundling continues to drive retention gains. Customers who add video to their broadband service churn roughly 40% less than broadband-only subscribers, and that effect deepens when they also activate Charter’s Seamless Entertainment streaming apps, which have been activated by about 55% of eligible customers. Internet-and-mobile bundle customers also churn about 40% less than internet-only users, with churn declining further as additional mobile lines are added. Mobile penetration among Charter’s internet customers currently stands at about 20%, while Cox’s video and mobile penetration remain low at under 10% and minimal, respectively.

Upstream data usage grew about 20% year over year, and Charter pointed to its 250 megawatts of fiber-connected edge data center capacity — complete with power, backup power and cooling infrastructure — as an unduplicated revenue opportunity for edge AI inference workloads.

On executive moves, Nick Jeffery joined Charter about a week before the conference to lead go-to-market execution and customer satisfaction. Fischer announced she will depart Charter to join Crux AI, a partnership between Google and Blackstone.

When asked about future M&A, Fischer said Charter sees itself as a steward of cable businesses and would pursue deals where they are accretive to shareholders and make industrial sense.

At the time of the conference, Charter’s market capitalization stood at $22.85 billion, with a price-to-earnings ratio of 3.62 based on trailing diluted earnings per share of $38.43.
