Aspire-Lakewood Holdings, Inc., based in Estero, Florida, has completed a corporate name change to Aspire-Lakewood Holdings, Inc., effective upon filing a Certificate of Amendment with the Delaware Secretary of State. The transition, approved by the board of directors and stockholders, marks a strategic evolution in the company’s corporate structure, reflecting a broader expansion in its business focus. The ticker symbol ASBP on The Nasdaq Capital Market remains unchanged.
The rebranding aligns with the acquisition of Dura Control Systems Corp., a subsidiary specializing in automotive and industrial control systems. Dura operates 11 global manufacturing facilities, serving as a tier-one supplier to major OEMs and industrial firms. Its portfolio includes mechatronic actuators, human-machine interfaces, industrial cables, and cable control systems, supported by over 310 patents.
Kraig Higginson, Aspire-Lakewood’s CEO, emphasized the significance of the name change in a statement: ‘This marks a pivotal milestone in our evolution and adopting a holding company structure better aligns our corporate architecture with this expanded business focus.’
Shareholders need not take action, as existing shares in book-entry form or through intermediaries remain valid. Certificates issued under the previous name remain legally enforceable, preserving all shareholder rights. The Delaware Secretary of State’s approval followed compliance with Section 242 of the state’s General Corporation Law.
