SEC to propose crypto investment regime, tokenized stock rules
U.S. regulator aims to establish a formal framework for crypto asset investments and introduce exemptions for tokenized stocks, according to Bloomberg.

The U.S. Securities and Exchange Commission is preparing to unveil a proposed regulatory framework for crypto asset investments, alongside new exemptions for tokenized stocks, Bloomberg reported on Thursday.
The move marks a step toward formalizing oversight of digital asset markets, which have historically operated in a regulatory gray area. The proposed regime would define the conditions under which crypto investments could qualify for SEC registration, while the tokenized stock exemption would clarify the treatment of securities represented as digital tokens.
The SEC’s initiative follows years of fragmented guidance and enforcement actions targeting crypto firms for operating without proper registration. Industry participants have long sought clearer rules to navigate compliance obligations in a rapidly evolving market.
The proposed framework is expected to address key concerns such as investor protection, market integrity, and anti-money laundering standards. Tokenized stocks, which represent traditional equity shares as blockchain-based tokens, would fall under the new exemptions, potentially expanding their use in regulated markets.
The SEC has not yet released the full details of the proposal, and further consultations with market participants are anticipated before finalization. The regulator’s move aligns with broader efforts to integrate digital assets into the traditional financial system while mitigating risks associated with fraud and market manipulation.
