Elemental Royalty Corporation (NASDAQ: ELE, TSX: ELE) has finalized a $290 million acquisition of a portfolio of five mineral streams and royalties, managed by Orion Mine Finance Management LP. The deal includes three producing assets and two development-stage projects across the United States, Guinea, Mexico, and New Zealand, with closing expected in the fourth quarter of 2026, contingent on regulatory approvals.
The portfolio comprises: - Ruby Hill Complex (Nevada, USA): A 50% silver stream on i-80 Gold Corp.’s property. - Kouroussa Mine (Guinea): A 5% gold stream on Mansa Resources’ mine. - La Negra Mine (Mexico): A 2.5% gross revenue royalty on Silverco Mining’s property. - Snowy River Project (New Zealand): A 1% gold stream under development by Endura Mining. - South Dakota Properties (USA): 1% net smelter return royalties on Dakota Gold Corp.’s assets.
The purchase consists of $200 million in cash and $90 million in equity, representing approximately 4.3 million shares—about 5.6% of Elemental’s outstanding shares. The transaction also involves a $150 million expansion of its revolving credit facility to $250 million, secured by the National Bank of Canada, to fund the cash portion.
In parallel, Elemental has divested its Generation Business to Carlin East Inc. in a non-binding agreement, exchanging early-stage royalties and exploration projects for a 19.9% equity stake valued at $8.5 million. The deal follows leadership changes, with David M. Cole stepping down as CEO to become Executive Chair of Carlin East, while Frederick Bell was appointed as the new CEO and director of Elemental Royalty.
The company has also outlined cost-saving measures, including a 25% reduction in annual cash expenses—down by roughly $6 million—and a 50% reduction in headcount following the transfer of generation offices and personnel. Guidance for 2026 has been updated to 19,500–22,000 gold equivalent ounces, with an additional 1,500 ounces expected from the new portfolio between August and December 2026.
The acquisition strengthens Elemental’s portfolio of mineral royalties and streams, expanding its geographic footprint and production potential while supporting its restructuring efforts.
