Wisekey shareholders approved the relocation of the company's registered seat from Switzerland to the British Virgin Islands at a general meeting on Wednesday, the company said Thursday.
The vote also ratified a fusion contract dated June 26, 2026. Under the terms of the transaction, Wisekey will be merged with its BVI-based affiliate, Wisekey BVI.
Once the merger is completed, the holding company of the Wisekey Group will be based in the British Virgin Islands rather than Switzerland.
