WISeKey International Holding Ltd. shareholders approved Tuesday the company's proposed redomiciliation from Switzerland to the British Virgin Islands, clearing the way for a corporate restructuring aimed at supporting international growth and access to global capital markets, according to Chairman and CEO Carlos Moreira.
At an extraordinary general meeting, investors endorsed a merger agreement dated June 26, 2026, under which WISeKey would merge with WISeKey International Corp., its wholly owned British Virgin Islands subsidiary. WISeKey BVI will emerge as the surviving publicly traded parent of the group, assuming the combined entity's listing.
WISeKey BVI had filed a registration statement on Form F-4 with the U.S. Securities and Exchange Commission, which declared the filing effective July 31, 2026. The completion of the merger remains subject to satisfaction of customary closing conditions.
Based in Switzerland, WISeKey holds listings on both the SIX Swiss Exchange (WIHN) and NASDAQ (WKEY). Its business centers on cybersecurity, digital identity and IoT solutions. The company's subsidiaries include SEALSQ Corp. (NASDAQ: LAES), which develops semiconductors and post-quantum technology products.
Moreira said the approval enables the company to proceed with a corporate structure designed to support its international expansion and broader access to capital markets.
