The sales were executed at weighted average prices between $18.9149 and $18.9948 per share. Voss Value-Oriented Special Situations Fund, L.P. disposed of 2,551 shares on August 26 at $18.9948, while Voss Capital, LP Managed Accounts sold 25,539 shares at the same price. On August 27, the fund sold 1,996 shares at $18.9149 and the managed accounts unloaded 91,931 shares at $18.915.
Following the transactions, the reporting entities collectively hold 13,730,706 Flywire shares, representing a 10% stake in the company. Voss Value Master Fund, L.P. retains 2,250,000 shares, Voss Value-Oriented Special Situations Fund, L.P. holds 366,617 shares, and Voss Capital, LP Managed Accounts maintain 11,114,089 shares.
The entities also retain derivative positions, including call options for 100,000 shares exercisable at $10.00 through September 18, 2026, and options for 50,000 shares at $7.50 expiring December 18, 2026. Both tranches were immediately exercisable upon acquisition.
Flywire’s stock was trading at $18.76 at the time of the filing, with a market capitalization of $2.28 billion. The shares have delivered a 51.9% return over the past six months, supported by 32% revenue growth. The company reported Q2 2026 revenue of $164 million, exceeding expectations, and adjusted EBITDA of $24 million with a margin of 14.6% year-over-year.
