Venu Holding Corp. CEO Jay W. Roth purchased 1,000 ordinary shares on August 21, 2026, for a total of $1,917 at $1.9176 per share, according to a filing with the U.S. Securities and Exchange Commission.
The transaction, reported via Form 4, comes as Venu Holding’s stock traded near its 52-week low of $1.75. The company’s shares have fallen 87.5% over the past year from a peak of $15.87.
Roth, who also serves as chairman of the board, holds 9,270,864 shares directly. Additional holdings include 62,500 shares in the JWR Living Trust and 999,720 shares in the KMR Living Trust, both managed by Roth.
Venu Holding reported a net loss of $0.29 per share in the second quarter of 2026, wider than the analyst consensus estimate of a $0.21 loss. Quarterly revenue totaled $4.8 million, while total assets rose 38% to $511.8 million.
The company highlighted FireSuite sales exceeding $285 million since its launch and secured over $150 million in C-PACE financing for two projects. A Broken Arrow location is expected to open within 90 days, with a McKinney site slated for March 2027.
