Shareholders of Union Jack Oil plc (AIM: UJO) approved all resolutions at a requisitioned general meeting on August 24, 2026, endorsing a board overhaul with near-unanimous backing.
The meeting, originally announced on July 27, 2026, resulted in the removal of three directors—David Bramhill, Joseph O'Farrell and Dr Zac Phillips—each receiving over 90% of votes cast in favor of their removal. In their place, Craig Howie and John Americanos were appointed as executive chairman and executive director, respectively, with 90.85% and 90.82% support.
Howie, who previously served as a director, holds 13.42 million ordinary shares, representing 9.15% of the company’s total voting rights. Americanos, also a former director, has a beneficial interest in 7.23 million shares, or 4.93% of voting rights. The company indicated plans to appoint independent non-executive directors to enhance oversight.
Craig Howie, aged 50, is also a director of Lanrest Advisory Limited and Lanrest Absolute (2023) Trust. John Americanos, aged 62, holds multiple directorships including John Alexander Ltd and Property Global Management Ltd. The new leadership outlined priorities including reducing central costs, particularly director remuneration, improving investor communication and corporate governance, and making asset- and corporate-level capital allocation decisions.
