Trulieve completes move from Canada to Delaware corporate domicile
U.S. cannabis firm Trulieve finalizes redomiciliation to Delaware after shareholder approval, shifting legal base from Canada to align with domestic operations.

Trulieve Cannabis Corp. has completed its redomiciliation process, transitioning its corporate domicile from Canada to Delaware, the company said on Monday.
The move follows shareholder approval granted in a special meeting held earlier this year. Trulieve, a multi-state operator in the U.S. cannabis market, cited operational alignment and regulatory advantages as key factors in the decision.
Delaware’s corporate-friendly legal framework and established business infrastructure were among the primary considerations for the relocation, according to a company statement. The redomiciliation does not alter Trulieve’s primary listing, which remains on the Canadian Securities Exchange (CSE).
Financial terms of the transaction were not disclosed. The company’s U.S. operations, including cultivation, processing and retail facilities, will continue under the same management structure.
Trulieve operates in 11 states, with a focus on high-volume retail markets such as Florida and Arizona. The company reported net revenue of $611 million in 2023, positioning it among the largest U.S. cannabis operators by sales volume.
Analysts noted that corporate domicile changes are common among U.S.-focused companies seeking to optimize legal and tax structures, though the cannabis sector faces unique regulatory challenges across jurisdictions.
Trulieve did not provide an immediate update on potential tax or compliance implications resulting from the redomiciliation.
