Trace3, an Irvine, California-based technology consulting and integration firm, agreed to acquire Calian’s U.S. commercial IT business in a carve-out transaction expected to close next month.
The deal includes managed services infrastructure, a 24/7 security operations center, two network operations centers, and integration facilities in Texas and Minnesota. Calian’s U.S. unit provides software, hardware, consulting, professional services, and managed services focused on AI, cloud, data, and security.
Calian Group, headquartered in Ottawa, employs over 6,000 people globally and operates as a TSX-listed entity. The transaction does not include Calian’s defense or healthcare segments.
Trace3 CEO Joe Quaglia said the acquisition “meaningfully expands our managed services capabilities and operational reach in the U.S., adding the facilities, talent, and service infrastructure to help our clients strengthen resilience, improve visibility, and accelerate transformation across their environments.”
Calian CEO Patrick Houston said the company believes Trace3 is the right partner to build on its U.S. commercial IT success, citing complementary capabilities and expanded expertise as key benefits for clients.
