The transaction was executed at an average price of $40.5926 per share, within a range of $40.565 to $40.67. The disposal was conducted as a non-discretionary sell-to-cover transaction to satisfy tax withholding obligations related to the vesting and settlement of restricted stock units (RSUs).
Kuffner had acquired 9,748 Class A shares on August 23, 2026, through the vesting and settlement of RSUs originally granted on November 23, 2024. The vesting schedule follows a 1/3 tranche on November 23, 2025, with the remaining 1/12 portions vesting quarterly thereafter.
Following the sale, Kuffner holds 219,858 directly held Class A common shares and retains 48,744 unvested RSUs. Symbotic’s Class A shares have declined approximately 30% over the past six months, with a 52-week low of $38.19.
Symbotic reported third fiscal quarter revenue of $721 million, a 22% year-over-year increase, while adjusted EBITDA more than doubled to $95 million. GAAP net income reached $55 million, reversing from a net loss in the same period a year earlier.
