The transaction was priced at $38.89 per share, according to a filing. Rawlings retains direct holdings of 68,508 shares and an additional 14,197 shares held indirectly through The Rawlings Family Trust, of which she is trustee. A portion of the disposed securities included Restricted Stock Units convertible to Class A common stock.
Roblox’s Class A shares closed at $37.56 on Tuesday, down 69% from a year ago and 74% below the 52-week high of $142. The company reported 41% revenue growth in the last twelve months but faces pressure from analyst downgrades and regulatory scrutiny.
Oppenheimer reduced its price target to $50 from $65, citing lower revenue and EBITDA estimates. Wells Fargo trimmed its target to $46, citing monetization challenges and guidance below consensus. Macquarie downgraded Roblox to Neutral, citing near-term headwinds.
The moves follow Roblox’s agreement with Australia’s internet regulator to enhance child safety measures after testing revealed vulnerabilities allowing adults to contact minors without parental consent. Citi noted that third-quarter bookings may exceed guidance based on RoMonitor tracking data.
