Martin Marietta Materials Inc. (MLM) shares dropped to a 52-week low of $523.45 on Tuesday, extending a 13.7% decline from the prior year and leaving the stock 26% below its 52-week high of $710.97.
The decline coincides with the company's $5.5 billion financing package for its pending acquisition of Lhoist North America, which secured all required regulatory approvals and remains on track for a third-quarter 2026 closing. The financing included $5.5 billion in senior unsecured notes issued in five tranches with staggered maturity dates and interest rates.
Second-quarter results released last month showed adjusted earnings of $5.00 per share, exceeding Wall Street estimates of $4.91, while revenue reached $1.95 billion against forecasts of $1.88 billion. Despite the positive earnings surprise, nine analysts have since lowered their outlooks for the upcoming period, according to InvestingPro analysis, which also flagged the stock as overvalued relative to its fair value estimate.
The contrast between strong operational performance and the capital-intensive acquisition strategy has contributed to investor caution, with the stock now trading near its lowest level in a year.
