Madison Air Solutions agreed to acquire German industrial ventilation and motion technology company ebm-papst in a deal valued at approximately $5.4 billion.
The transaction, structured as a cash-and-stock combination, will take ebm-papst private, according to a statement released on Tuesday. Financial terms were not disclosed beyond the stated valuation.
Founded in 1960 and headquartered in Mulfingen, Germany, ebm-papst specializes in fans, motors, and drive technology used in industrial and commercial applications. The company employs around 15,000 people globally and operates manufacturing facilities in multiple countries.
Madison Air Solutions, a privately held entity focused on air movement and thermal management solutions, did not disclose the breakdown of cash versus equity in the deal. The acquisition is expected to close in the second half of 2025, subject to regulatory approvals and customary closing conditions.
Analysts noted that the deal underscores ongoing consolidation in the industrial components sector, particularly in energy-efficient technologies. ebm-papst’s portfolio includes products designed for data centers, electric vehicles, and renewable energy systems, aligning with growing demand for sustainable industrial solutions.
The transaction marks one of the largest industrial M&A deals in Europe this year, reflecting strategic interest in niche manufacturing segments with strong technological differentiation.
