LivePerson Inc. has pushed back the deadline for its special shareholder meeting to September 2, giving investors an additional month to vote on the proposed acquisition of SoundHound AI Inc. The rescheduling follows preliminary results showing more than 97% of submitted votes in favor of the deal.
The transaction, announced on April 21, would issue approximately $3.33 worth of SoundHound stock for each LivePerson share, representing a roughly 22% premium over the 30-day volume-weighted average price preceding the announcement. The record date for eligible voters was set for July 6, with the definitive proxy statement filed with the U.S. Securities and Exchange Commission on July 9.
Stockholders who have already submitted proxies need not take further action, though those holding shares listed on the Tel Aviv Stock Exchange must provide an ownership certificate for the July 6 record date to Israeli counsel or vote via the Israeli Securities Authority’s Electronic Voting System no later than six hours before the meeting. The new deadline to cast votes online or by telephone is 11:59 p.m. ET on September 1, with the special meeting now scheduled for the following day.
The extension comes as the company remains a few percentage points short of securing majority approval from all outstanding shares, though early momentum suggests broad investor support for the merger.
