LivePerson (NASDAQ: LPSN) adjourned its Special Meeting of Stockholders on Wednesday after convening the session to vote on the proposed merger with SoundHound AI (NASDAQ: SOUN). The meeting, originally scheduled for Aug. 20, was immediately postponed and rescheduled for Sept. 2, 2026, at 10:00 a.m. ET, to be held virtually via live audio webcast.
Preliminary voting results indicate over 97% of shares voted support the merger with SoundHound AI. However, the transaction requires approval by a majority of all outstanding LivePerson shares. The company stated it remains a few percentage points short of the required threshold despite high support levels among voted shares.
Stockholders of record as of July 6, 2026, are eligible to participate in the rescheduled meeting. LivePerson shareholders listed on the Tel Aviv Stock Exchange must provide an ownership certificate confirming their position as of the same date to the company's Israeli counsel. Proxy submissions already received will remain valid, and stockholders may still vote via proxy card, online, or by phone. Proxy solicitation services were provided by MacKenzie Partners, Inc.
The proposed merger between LivePerson and SoundHound AI remains pending final shareholder approval, with the new meeting date set to allow additional time for voting participation to meet the required majority threshold.
