JPMorgan Asset Management Holdings Inc. has crossed the 5% ownership threshold in Everplay Group plc (LSE: EVPL), the Wilmington-based parent of JPMorgan's asset-management operations told UK regulators.
The investment giant disclosed that its total position reached 5.163012% as of September 22, carrying 7,530,192 voting rights. The stake comprises 4.493762% in direct shareholdings and 0.669250% held via financial instruments.
Of the financial-instrument portion, 288,458 voting rights were attached to instruments giving JPMorgan the right of recall, and 687,642 voting rights stemmed from cash-settled equity swaps. The majority of the indirect holding — 6,554,092 voting rights — was recorded under JPMorgan Asset Management (UK) Limited, while JPMorgan Asset Management International Limited and J.P. Morgan Investment Management Inc. also appear on the filing.
Under UK disclosure rules, shareholders must notify companies once their voting rights cross set thresholds, including the 5% mark. The notification was filed Tuesday, after JPMorgan's stake had already surpassed the minimum reporting threshold from a prior position below the disclosure line.
