In a disclosure published on Sept. 8, 2026, Ingram Micro Holding Corporation said an affiliate of Platinum Equity has launched a secondary offering of 13,125,000 shares of its common stock.
The Irvine, California-based company said Ingram Holdco, the selling stockholder, granted Goldman Sachs & Co. LLC, the sole underwriter, a 30-day option to purchase approximately 1,968,750 additional shares at the public offering price, less underwriting discounts and commissions. The transaction is being conducted through an automatic shelf registration statement on Form S-3 filed with the SEC's EDGAR system.
Ingram Micro will not offer any shares in the transaction and will not receive any proceeds. All net proceeds are expected to go to the selling stockholder.
The company also said it plans to repurchase 625,000 shares from the underwriter at the same price paid by the underwriter to the selling stockholder. The underwriter will receive no compensation for the repurchase. Ingram Micro said the repurchase is part of its existing share repurchase program and is expected to be funded with cash on hand.
The repurchase is expected to close concurrently with the offering and is conditional on the offering's completion. The offering is not conditional on the repurchase.
Ingram Micro, listed on the New York Stock Exchange under the ticker INGM, describes itself as a technology company for the global information technology ecosystem. It operates through its digital platform, Ingram Micro Xvantage, and provides technology services including financing, marketing and lifecycle management.
