Intercontinental Exchange Inc. and tZERO Group Inc. have entered a memorandum of understanding to develop infrastructure for tokenized securities markets, with tZERO designated as a design partner for digital transfer agent and broker-dealer services.
Under the agreement, ICE will invest in tZERO’s latest financing round and license its blockchain patent portfolio, which includes 23 patent families and 103 patents covering compliance-aware transfer logic, upgradeable smart-contract frameworks, and scalable corporate-action handling. The partnership aims to establish standards for digital transfer agents, tokenization agents, and broker-dealer subscribers for transactions on ICE’s upcoming NYSE-affiliated tokenized securities platform.
Subject to regulatory, technology, and operational requirements, tZERO is expected to be designated as an approved digital transfer agent and subscriber. The companies will also evaluate the use of tZERO’s tokenized assets for collateral management at ICE’s clearing houses and affiliates.
Michael Blaugrund, ICE’s vice president of strategic initiatives, said tZERO’s experience in regulated on-chain infrastructure makes it a valuable partner as the exchange expands its digital transfer agent program to support tokenized securities trading and settlement. Alan Konevsky, tZERO’s chairman and chief executive officer, described the partnership as a natural step forward for the company’s infrastructure-as-a-service offering and for tokenized markets more broadly.
tZERO operates through broker-dealer subsidiaries providing a liquidity platform for private companies and assets, and offers solutions for issuers to digitize capital tables via blockchain technology.
