Halyk Bank of Kazakhstan Joint Stock Company will convene an Extraordinary General Meeting of Shareholders on September 25, 2026, to consider key proposals related to the establishment of an Islamic banking subsidiary.
The meeting will be conducted entirely via remote voting, with no physical gathering permitted. Eligibility to participate is determined by the bank’s shareholder register as of the record date, which falls on the preceding Monday. Under Kazakhstan’s Law on Open Joint Stock Companies, the agenda is fixed and cannot be amended or supplemented, as resolutions are approved through remote voting without provision for a repeat meeting in the event of a quorum shortfall.
The agenda comprises eight items, with the most consequential being the application for a license to operate an Islamic bank. Shareholders will also vote on the formation of a Council of Islamic Financing Principles, including the number of board members, their terms, and member elections. Additional proposals include amendments to the bank’s charter and the selection of an auditing firm to review consolidated financial statements for the nine months ended September 30, 2026, as well as quarterly and annual audits for 2027–2028.
Meeting materials are available at Halyk Bank’s Executive Board headquarters in Almaty and on its corporate website in Russian, Kazakh, and English. Shareholders requesting physical copies will receive them within three business days, with costs for copying and delivery borne by the requester.
Holders of Global Depositary Receipts, backed by Halyk Bank’s ordinary shares, must follow voting procedures outlined in Article 12 of the GDR Terms and Conditions. The Bank of New York Mellon serves as the depositary entity for these instruments. The bank’s Executive Board is located at Al-Farabi Avenue, 40, Medeu District, Almaty.
