Cyprus-based gaming and entertainment holding company GDEV Inc. announced a tender offer to repurchase up to $20 million of its ordinary shares at a price of $11.03 per share.
The offer covers up to 1,813,236 shares, based on the trailing volume-weighted average price over the 10 trading days prior to August 28, 2026. Funding will come from the company’s cash and cash equivalents. Shares acquired through the tender will be held as treasury shares and remain available for future issuance.
The offer expires at 5:00 p.m. Eastern Time on September 28, 2026, unless extended, and marks the end of both the proration period and withdrawal rights. If more than 1.81 million shares are validly tendered and not withdrawn before the deadline, the company may implement proration.
GDEV’s board cited the tender as a prudent use of capital given current market conditions, the company’s cash position, and its operational profile. The group operates as a holding company with subsidiaries including Nexters and Cubic Games, whose franchises have recorded over 550 million installs and $2.5 billion in global bookings.
