Gamma Communications PLC said it is in preliminary discussions with Waterland Private Equity Investments B.V. regarding a possible acquisition of all its issued and to-be-issued share capital.
The Giacom Group, acting in concert with Waterland, would acquire certain Gamma business divisions if the deal proceeds. Gamma noted that other potential buyers remain under consideration and that there is no certainty an offer will be made or what terms it might entail.
The announcement follows recent market speculation about Gamma’s strategic direction. Under the U.K. Takeover Code, Waterland must either announce a firm intention to make an offer or confirm it will not proceed by 5:00 pm London time on September 18, 2026. The 28-day deadline may only be extended with consent from the Panel on Takeovers and Mergers.
Gamma said the Panel granted a dispensation from certain disclosure requirements, meaning the company is not required to identify potential buyers unless they are specifically named in press speculation.
