Diodes to raise $325 million via convertible notes due 2031
Semiconductor firm Diodes plans a convertible debt offering to fund growth initiatives and refinance existing obligations, with notes maturing in 2031.

Diodes Incorporated said on Monday it plans to offer $325 million in convertible senior notes due 2031 to fund general corporate purposes, including potential acquisitions and working capital needs.
The notes will be unsecured and will not rank senior to the company’s existing debt obligations. Proceeds may also be used to refinance certain outstanding indebtedness, Diodes stated. The offering is subject to market conditions and board approval.
Convertible notes allow investors to convert the debt into equity at a later date, typically at a premium to the current share price. The terms, including the conversion rate and maturity date, will be determined at the time of issuance.
Diodes, a supplier of discrete, analog and mixed-signal semiconductor products, did not disclose further details about the offering’s timing or underwriters. The company’s shares were not immediately materially affected by the announcement in after-hours trading.
