CGI Inc. has priced a C$500 million offering of senior unsecured notes divided into two tranches, the Montreal-based IT and business consulting company said Tuesday.
The first series comprises C$250 million in notes maturing in 3.25 years bearing interest at 4.195% per annum. The second series calls for C$250 million in notes due in 4.75 years, carrying an annual coupon of 4.484%.
Net proceeds are expected to total approximately C$497.3 million after deduction of agents' fees and estimated offering expenses, CGI said. The company plans to use the funds to repay existing indebtedness and for general corporate purposes.
A syndicate of agents led by Scotia Capital Inc., Desjardins Securities Inc., BMO Nesbitt Burns Inc., CIBC World Markets Inc., National Bank Financial Inc., RBC Dominion Securities Inc. and TD Securities Inc. handled the offering on an agency basis in Canada. The notes were offered on a private placement basis under available prospectus exemptions in Canadian provinces.
The senior unsecured notes have not been registered under the U.S. Securities Act of 1933 and cannot be offered or sold in the United States absent registration or an applicable exemption.
The transaction is expected to close on or about September 14, 2026, subject to customary closing conditions.
CGI reported fiscal 2025 revenue of $15.91 billion and operates a global workforce of 94,000 consultants and professionals providing IT and business consulting services.
