Central Asia Metals issues scheme booklet for Cygnus acquisition
Document outlines terms of proposed takeover of Cygnus Resources by Central Asia Metals, including shareholder voting details and valuation metrics.

Central Asia Metals has published a scheme booklet detailing the proposed acquisition of Cygnus Resources, a move that would expand the company’s copper and zinc operations in Kazakhstan.
The booklet, filed with the London Stock Exchange, provides shareholders with the proposed terms of the scheme of arrangement, including the share exchange ratio and valuation metrics for Cygnus. The transaction remains subject to regulatory approvals and shareholder votes, with no completion timeline specified.
Under the proposal, Cygnus shareholders would receive new Central Asia Metals shares in exchange for their existing holdings, subject to a valuation determined by independent advisors. The booklet also includes financial projections for the combined entity, highlighting potential synergies from integrating Cygnus’s assets into Central Asia Metals’ existing operations.
Central Asia Metals, which operates the Kounrad copper project in Kazakhstan, has not disclosed the total consideration for the deal but emphasized the strategic benefits of the acquisition. The company stated that the transaction would enhance its production capacity and geographic footprint in the region’s mining sector.
Shareholders of both companies are expected to vote on the scheme in the coming months, with further updates to be provided as the process advances.
