Canopy Growth Corporation adjourned its annual general and special meeting of shareholders on Friday after falling short of the required quorum.
Under Nasdaq listing rules and the company’s by-laws, at least 33 1/3% of outstanding shares entitled to vote must be present in person, by remote communication, or by proxy to constitute a quorum. The meeting, scheduled to begin at 1:00 p.m. ET, could not proceed because that threshold was not met.
The company has rescheduled the meeting for October 23, 2026, at 1:00 p.m. ET, to be held via live audio webcast. Shareholders may submit votes online, by phone, or by mail using the 16-digit control number issued by Broadridge Financial Solutions; the voting deadline is 9:00 a.m. ET on October 23.
Investors who already cast their votes or submitted proxies prior to the adjournment do not need to take further action; those previously submitted proxies remain valid. Eligibility to vote is determined by the record date of July 31, 2026, meaning shareholders of record as of the close of business on that date retain their voting rights for the reconvened meeting.
