Biomea Fusion, Inc. (NASDAQ:BMEA) announced Monday it has commenced an underwritten public offering of common stock and pre-funded warrants to purchase common stock, underwriting by Konik Capital Partners, LLC, a division of T.R. Winston & Company.
The San Carlos, California-based clinical-stage company said it plans to grant the underwriter a 30-day option to purchase up to an additional 15% of the total number of shares and pre-funded warrants offered. The size and terms of the offering remain subject to market and other conditions, the company noted, with no assurance regarding completion, timing, actual size or final terms.
A preliminary prospectus supplement and accompanying prospectus are planned to be filed with the U.S. Securities and Exchange Commission. The offering is being made pursuant to a shelf registration statement on Form S-3 (File No. 333-289262), which was filed with the SEC on August 5, 2025, and declared effective on August 15, 2025.
Biomea Fusion is developing a pipeline of oral small molecule therapies, including Icovamenib and BMF-650, for the treatment of diabetes and obesity.
