Vancouver-based BIGG Digital Assets Inc. said it will rebrand as Surge Digital Inc. and consolidate its common shares on a seven-to-one basis, reducing its outstanding share count from 355.78 million to approximately 50.83 million.
The move, approved by the company’s board and subject to acceptance by the TSX Venture Exchange, will take effect on or about August 26, 2026. The new trading symbol on the TSXV will be SRGE, replacing the current BIGG ticker. Shares will continue to trade on the OTCQB market under BBKCF during the transition.
BIGG Digital operates Netcoins, Blockchain Intelligence Group, and TerraZero Technologies, all of which will remain under the Surge Digital umbrella. The consolidation will proportionately adjust the exercise prices and number of shares issuable under outstanding stock options, warrants, and other convertible securities in line with TSXV policies.
Fractional shares resulting from the consolidation will be rounded down if less than one-half of a share and rounded up if one-half or greater, with no cash paid for fractional interests. Beneficial shareholders holding shares through brokers will have their holdings adjusted automatically, while registered shareholders holding physical certificates will receive instructions from Computershare Trust Company of Canada.
The company’s CUSIP number is 86890A109 and its ISIN is CA86890A1093. No shareholder meeting or vote is required, as the company’s articles permit the board to implement the name change and consolidation without approval.
