Artificial intelligence company Anthropic is preparing to implement a dual-class share structure that would grant CEO Dario Amodei and other co-founders enhanced voting rights ahead of a planned initial public offering, according to a report from The Information.
The San Francisco-based startup, known for developing the Claude AI assistant, is considering issuing a separate class of stock with supervoting power to insulate leadership from shareholder pressure, the report said. The arrangement would mark the first time Anthropic’s founders receive such voting privileges.
Anthropic’s co-founders currently hold relatively small ownership stakes compared with founders at other major technology firms, a factor the company is addressing through the proposed governance changes. The company also plans to maintain its existing board structure by using a special class of stock to elect a majority of non-shareholder trustees to the board, according to the report.
The governance adjustments are part of broader preparations for a potential IPO, which The Information noted could be the largest in history. The report cited late September 2026 as a possible timeframe for the listing, though no definitive plans have been finalized.
