(NYSE: AMC) has initiated a tender offer to purchase approximately $360 million in 7.500% Senior Secured Notes due in 2029, priced at $1,009.70 per $1,000 of notes, including accrued interest. The deal is structured as a non-binding invitation for holders to sell their shares, with the option to withdraw before the expiration date on September 30, 2026. AMC’s financing condition requires aggregate gross proceeds of at least $3.97 billion from one or more debt financing transactions, including a concurrent offering of new first-lien notes, to be secured by October 5, 2026. The company expects to use proceeds from these financing efforts, along with existing cash reserves, to cover the purchase costs, fees, and any redemption obligations. Should the financing not materialize, the offer remains open until February 15, 2027, when AMC intends to redeem any remaining notes at 100% of their principal plus accrued interest. The tender offer is managed by Wells Fargo Securities LLC and Deutsche Bank Securities Inc., with D.F. King & Co. Inc. serving as the tender and information agent. AMC operates approximately 850 theaters and 9,600 screens globally, reflecting its broad theatrical footprint.
